Nomination and Remuneration Committee

The Nomination and Remuneration Committee assists the Board of Commissioners by providing recommendations regarding the nomination and remuneration of the Board of Commissioners and Board of Directors. The Committee is also involved in assessing the performance of members of the Board of Commissioners and Board of Directors.

The Company has prepared the Nomination and Remuneration Committee Charter in accordance with Financial Services Authority Regulation No. 34/POJK.04/2014 on the Nomination and Remuneration Committee of Listed or Public Companies. The aforementioned charter serves as the basis for understanding the regulations on the Nomination and Remuneration Committee’s work procedure to ensure that the recommendations given to the Board of Commissioners and Board of Directors are in line with the Company’s needs and objectives.

The Nomination and Remuneration Committee’s duties and responsibilities are as follows:

1. Providing recommendations to the Board of Commissioners regarding the composition of members of the Board of Commissioners and/or members of the Board of Directors in accordance with the Company’s needs; policies and criteria required in the nomination process; and performance assessment policy for members of the Board of Commissioners and/or members of the Board of Directors.
2. Assisting the Board of Commissioners in evaluating the performance of the members of the Board of Commissioners and the Board of Directors based on the duties and responsibilities of each member of the Board of Commissioners and members of the Board of Directors.
3. Proposing candidates who meet the requirements as members of the Board of Commissioners and/or Board of Directors to the Board of Commissioners to be submitted at the GMS.
4. Providing recommendation to the Board of Commissioners regarding the remuneration structure, policy, and amount for members of the Board of Commissioners and the Board of Directors.
5. Assisting the Board of Commissioners in conducting performance assessment in conformity with the remuneration received by each member of the Board of Commissioners and Board of Directors.
